Please read these Terms and Conditions ("Terms") carefully before using the MedsDental website or any of our dental billing and revenue cycle management services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

1. Acceptance of Terms

By accessing and using the MedsDental website and services, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations. MedsDental Inc. reserves the right to update or modify these Terms at any time without prior notice. Continued use of our services after any changes constitutes your acceptance of the revised Terms.

2. Services Provided

MedsDental provides remote dental billing, insurance verification, dental credentialing, dental coding, dental auditing, and related revenue cycle management services to dental practices. The scope of services provided to each client is defined in the applicable Service Agreement signed between MedsDental and the client.

4. HIPAA Compliance

MedsDental is committed to full compliance with the Health Insurance Portability and Accountability Act (HIPAA). As a Business Associate of dental practices, MedsDental handles Protected Health Information (PHI) in accordance with HIPAA regulations. A Business Associate Agreement (BAA) must be executed between MedsDental and each client prior to the exchange of any PHI. All PHI is handled securely and in compliance with applicable federal and state privacy laws.

5. Intellectual Property

All content on the MedsDental website, including but not limited to text, graphics, logos, images, and software, is the property of MedsDental Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without the express written permission of MedsDental Inc.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed in connection with the services. MedsDental will not disclose client information to third parties except as required to deliver the contracted services, as required by law, or with the client's prior written consent.

7. Payment Terms

Payment terms for MedsDental services are outlined in the applicable Service Agreement. Invoices are due within the timeframe specified in that agreement. MedsDental reserves the right to suspend services for accounts with overdue balances. All fees are non-refundable unless otherwise stated in a written agreement.

8. Limitation of Liability

To the maximum extent permitted by law, MedsDental Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of our services or website. MedsDental's total liability to any client for any claim arising under or relating to these Terms shall not exceed the total fees paid by the client to MedsDental in the three (3) months immediately preceding the claim.

9. Disclaimer of Warranties

Our services and website are provided on an "as is" and "as available" basis. MedsDental makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of the services or website content. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Termination

Either party may terminate services in accordance with the terms of the applicable Service Agreement. MedsDental reserves the right to immediately suspend or terminate access to services if a client violates these Terms or engages in conduct deemed harmful to MedsDental, its clients, or third parties. Upon termination, all outstanding fees remain due and payable.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Nassau County, New York.

12. Changes to These Terms

MedsDental reserves the right to revise these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. We encourage you to review these Terms periodically. Your continued use of our services following any changes constitutes acceptance of those changes.
